Bakkt at Money 20/20 Conference Sweepstakes (“Sweepstakes”) is sponsored by Bakkt Marketplace LLC, 10000 Avalon Boulevard, Suite 1000, Alpharetta, Georgia 30009 ("Bakkt" or “Sponsor”). Sweepstakes is governed by these official rules (“Official Rules”). By participating, entrant (“entrant” or “you” or “your”) agrees to abide by these Official Rules, including all eligibility requirements, and understands that the results of the Sweepstakes, as determined by Sponsor and its agents, are final in all respects.  These Official Rules are the complete statement of the terms and conditions of the Sweepstakes. Entrants may not rely on any oral representation regarding the Official Rules (including, without limitation, by Bakkt® its agents or representatives), including statements concerning interpretation or enforcement of the Official Rules. Any questions of a potential violation of the Official Rules or dispute concerning their interpretation will be decided by Sponsor in its sole and absolute discretion.  Sweepstakes is subject to all federal, state and local laws and regulations and is void where prohibited by law.  

Odds of winning depend on the number of eligible entries received. 

SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, MONEY 20/20 OR ANY ASCENTIAL COMPANY.  

BAKKT MARKETPLACE LLC IS A LICENSED MONEY TRANSMITTER IN 47 STATES AND HOLDS A VIRTUAL CURRENCY “BITLICENSE” IN THE STATE OF NEW YORK. 

ELIGIBILITY.  Sweepstakes is not open to the general public. Sweepstakes is only open to registered attendees of the Money 20/20 Conference in Las Vegas, Nevada to be held during October 23 – October 26, 2022 (the “Conference”) who are legal residents of one of  49 US states (excluding Hawaii) or DC, and who at the time of entry (1) are eighteen (18) years of age or older, (2) are physically in attendance at the Conference”; (3) have a mobile device with internet access that can scan a QR code; (4) scan the QR code available at the Bakkt sponsored room MR3609 during the Conference (the “Bakkt Room”); (5) complete the registration requirements set forth at the Bakkt landing page (“Landing Page”) to which the QR code directs participant (the “Registration”);  (6) have a Bakkt account (the “Bakkt Account”); and (7) who, upon Prize Notification, have accepted tax requirements necessary to claim the Prize.  Further details regarding the Registration will be provided at the time of Registration.  Bakkt reserves the right to verify the eligibility of each entrant.   

Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Sponsor, parent companies, divisions, subsidiaries, affiliates, successors in interest, advertising, promotion, and public relations agencies are not eligible. For the purposes of the Sweepstakes, family members are defined as spouse, partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren (including “step” as they may apply). 

Participants must be properly registered for the Conference to participate and be eligible.   

HOW TO ENTER.  To enter, scan the QR code at the Bakkt Room and complete the Registration prior to 7:00PM PST on Tuesday, October 25, 2022.  Limit one entry per person.  PARTICIPANT MUST ATTEND THE BAKKT ROOM, COMPLETE THE REGISTRATION AND MAINTAIN A VALID BAKKT ACCOUNT TO WIN A PRIZE.   

If you do not already have a Bakkt Account, you must establish a Bakkt Account before 7:00PM PST on October 25, 2022 by visiting your App Store and downloading the Bakkt App. Creating a Bakkt Account is free. By submitting your information and creating a Bakkt Account, you will be required to agree to the Bakkt terms of service and privacy notice. If you do not agree to such terms of service and privacy notice, you cannot create a Bakkt Account. 

In the event of a dispute as to any entry, the authorized account holder of the Bakkt Account used to complete the Registration will be deemed to be the entrant. Potential Prize Winner may be required to show proof of being the authorized Bakkt Account holder. 

WINNER SELECTION. One (1) potential Prize Winner will be randomly selected by Sponsor on Wednesday, October 26, 2022, the last day  of the Conference, from among all eligible registered participants.  

Sponsor will notify the potential Prize Winner via email at the email address provided by such Prize Winner on the Landing Page (a “Prize Notification”). Please ensure that settings are set up to allow for receipt of communications from Sponsor. Sponsor assumes no responsibility for undeliverable Prize Notification resulting from inability of participant to receive notifications.   

REQUIRED ACTION TO CLAIM PRIZE. In order to claim the Prize, the potential Prize Winner must have provided all information requested on the Landing Page in order to complete their Bakkt Account. This information may include, but not be limited to: name, address, phone number, email address, Social Security number, date of birth, and W-9 form. Upon the request of Sponsor, potential Prize Winner must sign and return any required forms, including, without limitation, affidavits of eligibility, Prize acceptance and liability and publicity release forms, and IRS-W9 and/or 1099 forms, to Bakkt within thirty (30) days from the date of Prize Notification. The return of the above-mentioned forms within the allotted time shall be solely the responsibility of the potential Prize Winner; Bakkt is not responsible for delays in delivery. If Prize Notification is returned as undeliverable or if a potential Prize Winner fails to comply with these Official Rules, cannot be reached by Bakkt (or its designee), or fails to return all of the required forms within the time specified, that potential Prize Winner may be disqualified in Bakkt’s sole and absolute discretion and a new potential Prize Winner will be selected while time permits.  Prize may not be awarded if an insufficient number of eligible entries is received. 

PRIZE.  One (1) person will  win a prize (“Prize”) of the equivalent of $500 in bitcoin at the then-effective Bakkt exchange rate (“Virtual Currency”) or U.S. dollars (each a “Prize Winner”). Approximate Retail Value of  Prize is $500. 

Sponsor makes no warranties, representations or guarantees relative to any Prize, and disclaims all liability for the provision, use, quality or nature of any third party product or service provided to the Prize Winner.   

Virtual currency values can fluctuate substantially which may result in a total loss of the value of the virtual currency (also referred to as “Digital Assets”) in your Bakkt Account. By using your Bakkt Account, you acknowledge and agree that Bakkt does not have any control over the underlying software protocols governing the operation of certain Digital Assets. Bakkt is not liable for the operation of these protocols, and does not guarantee the functionality or security of these operations. These protocols are subject to sudden changes, and these changes may materially affect the value, function, availability and name of the Digital Assets you hold. Changes to the protocol governing certain Digital Assets are generally referred to as “forks.” In the event of any changes to any Digital Asset protocols, Bakkt may take any measures it deems necessary, in its sole discretion, to protect the Digital Assets available through Bakkt’s platform. These measures may include temporarily suspending operations for the impacted Digital Assets. Bakkt will use its best efforts to notify you of its response to any material operating changes, but you acknowledge that these changes are outside of Bakkt’s control and may occur without notice to Bakkt. By using your Bakkt Account, you acknowledge and accept the risks of operating changes to Digital Asset protocols, including forks, and agree Bakkt is not responsible for any such changes or any losses you may experience as a result of such changes 

SELLING DIGITAL ASSETS MAY HAVE TAX CONSEQUENCES, AND SPONSOR IS NOT RESPONSIBLE FOR ANY TAX LIABILITY ASSOCIATED WITH ANY PRIZE. SPONSOR DOES NOT PROVIDE TAX ADVICE, AND YOU SHOULD CONSULT WITH A TAX ADVISOR IF YOU HAVE SPECIFIC QUESTIONS ABOUT THE TAX IMPACT OF ANY PRIZE. YOU ARE RESPONSIBLE FOR ALL TAXES RESULTING FROM ACCEPTANCE AND USE OF THE PRIZE, AND ALL COSTS AND EXPENSES NOT SPECIFIED AS PART OF THE PRIZE. 

ADDITIONAL LIMITATIONS. Prize is non-transferable.  No substitution or cash equivalent of Prize is permitted, except in Bakkt’ sole discretion. Bakkt reserves the right to award a prize of equal or greater value in the event the Prize is unavailable.  Bakkt and its respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the offer or administration of the Sweepstakes, including, but not limited to, errors in any printing or posting of these Official Rules, the selection and announcement of any Prize Winner, or the distribution of any Prize. Any attempt to damage the content or operation of this Sweepstakes is unlawful and subject to possible legal action by Bakkt. 

Bakkt reserves the right to terminate, suspend or amend the Sweepstakes, without notice, and for any reason, including, without limitation, if Bakkt determines that the Sweepstakes cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Bakkt’s control corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes. In the event any tampering or unauthorized intervention may have occurred, Bakkt reserves the right to terminate the Sweepstakes and void suspect entries at issue.  Bakkt and its respective parent, affiliate and subsidiary companies, agents, and representatives, and any internet network or service providers, are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any internet network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise. 

INDEMNIFICATION AND LIMITATION OF LIABILITY 

BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS BAKKT, ADMINISTRATOR AND THEIR RESPECTIVE PARENT, AFFILIATE AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES) WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), CONTRACT, WARRANTY, STRICT LIABILITY, RELIANCE OR UNDER ANY OTHER THEORY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT'S PARTICIPATION IN THE SWEEPSTAKES AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON, AND WHETHER OR NOT BAKKT OR ADMINISTRATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  BAKKT, ADMINISTRATOR AND THEIR RESPECTIVE PARENT, AFFILIATE AND SUBSIDIARY COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE.  

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SWEEPSTAKES WEBSITE AND ALL OTHER ELEMENTS OF THIS SWEEPSTAKES IS AT YOUR OWN DISCRETION AND RISK. THE SWEEPSTAKES WEBSITE AND ALL OTHER ELEMENTS OF THIS SWEEPSTAKES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. YOU UNDERSTAND THAT SPONSOR AND ADMINISTRATOR MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE RELIABILITY, TIMELINESS, AVAILABILITY AND/OR PERFORMANCE OF ANY ELEMENT OF THIS SWEEPSTAKES.  BAKKT, ADMINISTRATOR AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, MEMBERS EMPLOYEES, REPRESENTATIVES AND AGENTS DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE SWEEPSTAKES. 

PUBLICITY.  By entering, each entrant grants Bakkt and its advertising and promotional agencies and providers and those acting under their permission the irrevocable and perpetual right to use such entrant’s name and likeness for advertising and publicity purposes without payment of additional consideration, except where prohibited by law.   

PRIVACY.  Personal information collected from entrants during the Sweepstakes is subject to Bakkt’s privacy policy available at https://bakkt.com/privacy-policy.  Bakkt may engage certain third party companies to perform services in connection with the administration of this Sweepstakes and information provided by entrants may be collected and used by those third parties for purposes of administration of the Sweepstakes and the fulfillment and verification of Prize awards. 

INTELLECTUAL PROPERTY. Official Rules, Bakkt trademarks, tradename and logo and all related Apps, content and code are the property of the Bakkt or authorized third parties.  The copying or unauthorized use of any of those materials, associated trademarks or any other intellectual property without the express written consent of its owner is strictly prohibited. 

DISPUTE RESOLUTION. Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of, or connected with, this Sweepstakes or the acceptance, use or misuse of the Prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the federal United States District Court or appropriate state court located in Fulton County, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs, but in no event including attorneys' fees, disbursements or court costs; (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages, and any other damages other than for actual out-of-pocket costs; and (4) any right to a jury trial in any dispute, claim, or cause of action arising out of, or connected with, this Sweepstakes is hereby waived. 

COPIES OF THE RULES AND WHO WON.  Requests for the Prize Winner’s name (after October 26, 2022) and these Official Rules may be requested by sending an email to news@bakkt.com referencing the Bakkt at Money 20/20 Conference Sweepstakes and the requested materials. All requests must be received by December 31, 2022.
